I'm guessing a process or a driver isn't releasing cleanly. Could also be a hardware conflict. Go get yourself a copy of bootvis and run it a few times... it 'should' help you diagnose what's not killing clean.

I went to Windows help troubleshooter and there was an option related to antivirus programs. Then I gone to Norton Antivirus 2002 and disabled the option “scan the floppy disk drive when the computer shuts down”.
Now, the computer shuts down well.
So, I think my problem is resolved.
