Windows update problem

I've just made a test pc :
Intel P4
512mb ddram
windows xp Pro SP2
I've got it networked via a simple hub to server running WinXP Pro SP1.
The client PC connects to the internet no probs and if I do a manual Windows update, it lists all security updates etc. The problem is that it can't download them (they all come up FAILED) with a message that I havn't accepted a EULA. It tells me to download again and to accept the EULA when it appears. But it does NOT appear.
Any Help?

Flush out cache, cookies in IE - Reset your web settings, and in Active X controls uninstall Windows Update, and Windows Validation Check. Start the process over.

If this fails, check to make sure you've installed a valid version of XP (is your product key kosher?)

If all fails, you can download post SP2 security updates directly from MS

Ok, I did what you said and I DID get a eula up and accepted. But it still fails on download.
It IS a legit copy.
 
Try to find and delete the Windows Update BHO with Hijack This, restart Internet Explorer, and see if it works.
