Ntfs <-> Fat32

I have installed a second hard drive. It is going to be used for data storage/back-up. My primary drive is formatted in NTFS and has winXP home installed. The back-up drive is formatted in FAT 32. Is there or could there be any conficts in swapping files between these two drives. What about installing programs on second drive(FAT 32) will they still run?

Not really, the biggest selling point of fat32 is that you can access it in DOS

you can password folders encrypt files
and also ntfs frag less
 
One point missing is that you can access NTFS from DOS using a wonderful little utility from:
http://www.winternals.com
called NTFS4DOS. Brilliant tool, and uses the actual drivers used from the mother OS.
