I would like to know how to prevent any data to be written into it. (Write-protect it)

If you're running XP Pro on NTFS then you can right click on the folder and secure it however you want so only you can put stuff in it using a password (that you oughta write down). If it's a system folder... dunno if that's a good idea.

So I can't do write-protect if I use Fat32 file system?

Nope, fat32 does not support advanced file permissions. There might be a workaround by locking the user out maybe...Just convert to NTFS...everyones doing it..you know you wanna 😉
