Is only NTFS can password protect file sharing on a network?

What's the most secure way to limited file access on win XP Pro with FAT32 file system?
 
You can't use a Winows 98 type password in XP. Disable Simple File Sharing in the Folder Options, and assign username-based Windows NT type permissions. You can't do a Windows 98 type password. For network shares only, this works with both FAT32 and NTFS.
