You really shouldn't though. You can run into problems upgrading a DOS based OS to an NT based OS, there are a few knowledge base articles on this too. Personally I always clean install, just eliminates the chance of a problem.

I totally concur with this. Upgrading from 98 to XP is technically possible.. but is hardly ever the recommended route. I can't tell you the amount of trouble and other instability issues that people I know have had to endure because they went the upgrade route.
Plus, if you are upgrading, you should back up your data anyway.. so, if you are backing up all your data, why not start with a fresh and clean load instead of carrying all your extra baggage over to the new system?
