Upgrading from a dos based OS to an NT based OS is rarely a good idea. Much better off with a fresh install.

if ypu can't do a clean install, just uninstall norton av especially, but any av, and then you should be fine.

the av's are usally what causes the issue on any upgrade problems.

always best to clean install, but if it's impossible, uninstall any av's

IT'S NOT WHAT YOU'VE DONE IT'S WHAT YOU ARE GOING TO DO

I have no personal experience in doing this, but I always heard that installing Windows 2000 or any other older Windows OS after XP will damage the bootsector and will prevent XP from starting. Does this not apply if ME is already installed?

link: How do I install Windows 2000 after I've installed XP?

Well the issue is that MS designs their OS's so that older ones will see there is a newer version and won't install after the newer version. Older OS's need to be installed first, and dos based OS's need to be install first in the root of the boot drive. Of course, third party utilities such as Partition Magic (actually Boot Magic) provide a way around this.

In this case, however, the DOS OS is already installed in C: root so I believe he can perform the upgrade. It's an excellent question though yoyo.
