NIC card disables when applying drivers

I am installing XPx64 on an Asus K8N mobo. when i apply the drivers for this mobo the NIC communication light goes out. Before i installed the drviers i was able to see the lights flicker on the NIC. so it sounds like its an issue with the drivers but i do not know why. I can see the local area connection under my connections.

ive tried the Nvidia drivers and the Asus drivers. both reflect the same problem. any ideas as to why this is happening?
 
This may sound stupid, but ... does it work (can you get an IP and go online)
 
no, no connection will occur with the NIC. if i try to renew the IP it says no media connected and the switch has no lights lit on that port.

i just installed XP x86 and the same problem happened. I am going to RMA the Mobo. hopefully its under warranty.
