Audio problem

I have a video file(Xvid)(1H 52m 27s) which has italian audio, I have another audio file which is (Divx 5)(1H 49m 47s) there is 2minutes 47 sec of difference in these files.I have tried to alter the audio file to mux properly with the video from the first one but have had much success. What is the easiest way to do this. I am making a DVD with the files and the video is encoded to MPEG2 format for Maestro. I have been able to make the adio the same length as the video but the audio get further out of sync as the film goes on. Any help would be appreciated.
 
I use VirtualDub to sync audio... it's pretty simple to use. You can download the program for free and the help will walk you through how to work it.
